
Terms of Use, Privacy & AI Data Policy

IMPORTANT: BY ACCESSING OUR SITES, REGISTERING FOR AN EVENT, OR ATTENDING AN EVENT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS POLICY IN ITS ENTIRETY, INCLUDING THE NO-REFUND POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SITES OR ATTEND EVENTS.
1. Scope and Applicability
This Policy governs BREATHE! Exp and its parents, subsidiaries, affiliates, and related entities (collectively, "BREATHE! Exp," "we," "us," or "our"); all websites, landing pages, and online services we operate ("Sites"); and all events, programs, workshops, and summits we produce, including the GPS Summit ("Events").
This Policy applies to website interactions, Event registration and participation (onsite and virtual), AI-powered experiences, and all related communications. It does not apply to independent third-party websites or platforms, or to the conduct of other attendees except as expressly stated.
2. Definitions
"Personal Data" means any information that identifies, relates to, or could reasonably be linked with a particular person, as defined under applicable law.
"AI Systems" means artificial intelligence and machine-learning tools, models, autonomous agents, or services, including generative AI, recommendation systems, analytics tools, and automated assistants.
"Third-Party Providers" means external vendors, platforms, partners, or service providers supporting our Sites or Events.
"Event Materials" means all content, recordings, presentations, handouts, digital resources, and materials provided at or generated during Events.
"Attendee Content" means any content, prompts, questions, responses, feedback, or other submissions you provide through our Sites, Events, or AI tools.
3. Information We Collect
3.1 Directly Provided
We collect information you provide, including: contact and identification details (name, title, company, email, phone); account credentials; Event registration preferences (ticket type, sessions, dietary and accessibility needs); payment-related information (processed by third-party payment processors—we do not store full payment card details); communications and support requests; Attendee Content; and marketing preferences.
3.2 Automatically Collected
We and our Third-Party Providers may automatically collect: device and technical information (IP address, device identifiers, browser type, approximate location); usage data (pages viewed, navigation patterns, session duration); and Event engagement data (email opens, session attendance, participation metrics). This collection occurs through cookies, pixels, server logs, and integrated platforms.
3.3 During Events
At Events, we collect: registration and check-in data; session attendance and participation; audio, video, and photographic recordings in public or semi-public Event areas; interactions with AI experiences (prompts, questions, responses); and survey and feedback responses.
3.4 From Third Parties
We may receive Personal Data from Event sponsors, partners, and exhibitors (where you opt in); ticketing and registration platforms; marketing and data enrichment providers; and social networks (where you interact with our content or use single sign-on).
4. How We Use Your Information
We use your information to: operate, secure, and improve Sites and Events; process registrations, payments, and support requests; personalize content, recommendations, and Event experiences; communicate transactional and promotional messages (subject to your preferences); power AI-driven experiences including matchmaking, chat assistance, and content summarization; analyze engagement and develop aggregated insights; and comply with legal obligations and protect our rights and the safety of participants.
We process Personal Data only with a valid legal basis under applicable law, including consent, contract performance, legitimate interests, or legal compliance.
5. AI Systems and Third-Party Technologies
5.1 AI Usage
BREATHE! Exp uses and showcases AI Systems during Events, operated by us or in collaboration with Third-Party Providers. These include chatbots, recommendation engines, content generation tools, and analytics platforms. AI Systems may process your prompts and responses, Event participation data, profile information, and recorded session content.
5.2 Third-Party AI Providers
Third-Party Providers powering AI functionality may process data on our behalf, use de-identified or aggregated data to improve their services, and store interaction logs for limited periods. While we implement reasonable contractual and technical safeguards, we do not control all aspects of how those providers operate their underlying AI models and infrastructure.
5.3 Your Responsibilities
DO NOT SUBMIT sensitive information through AI tools, including: government IDs, financial account numbers, payment card details; health or medical information; information about minors; confidential business or legal information; or information belonging to third parties without authorization.
If you submit such information despite this warning, you do so at your own risk and release BREATHE! Exp from any liability arising from such disclosure.
5.4 No Reliance on AI Outputs
AI-GENERATED CONTENT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. Outputs may be incomplete, inaccurate, or outdated. Do not rely solely on AI outputs for legal, financial, medical, or other critical decisions. AI recommendations are informational only and do not constitute professional advice.
BREATHE! Exp has no duty to verify AI output accuracy and makes no guarantees regarding accuracy, completeness, or fitness for any purpose.
6. Information Sharing
We may share your Personal Data: within BREATHE! Exp and affiliates; with service providers performing services on our behalf (payment processors, event platforms, email providers, AI providers, IT vendors); with Event sponsors, partners, or exhibitors only where you opt in or as necessary to deliver a sponsor benefit you selected; as required by law or to protect our rights, property, or safety; and in connection with business transfers (merger, acquisition, sale), in which case this Policy continues to apply to transferred data.
We do not sell your Personal Data as defined under the California Consumer Privacy Act.
7. Cookies and Tracking Technologies
We use cookies, pixels, and similar technologies to remember preferences, analyze usage, measure marketing performance, and support Site features. Cookies may be session-based or persistent. You can control cookies through browser settings, though some Site features may not function properly if disabled. Where required by law, we provide cookie banners or preference tools.
8. Data Retention and Security
We retain Personal Data as long as reasonably necessary to provide services, meet legal obligations, resolve disputes, and manage ongoing relationships. We may anonymize or aggregate data for long-term analytics. We implement reasonable technical, organizational, and administrative measures to protect Personal Data, but no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
9. International Transfers
Your information may be transferred to, stored in, or accessed from jurisdictions with different data protection laws. Where required, we implement appropriate safeguards such as standard contractual clauses.
10. Your Privacy Rights
Depending on your location, you may have rights to: access, correct, delete, or restrict processing of your Personal Data; object to certain processing; request data portability; and withdraw consent. To exercise rights, contact us using the information below. We may verify your identity before responding. California residents have additional rights under the CCPA/CPRA, including the right to know, delete, correct, and opt-out of sales or sharing.
11. Children's Privacy
Our Sites and Events are not directed to individuals under 18. We do not knowingly collect Personal Data from children under 18. If we learn we have collected such data without appropriate consent, we will delete it promptly.
12. Terms of Use
12.1 License and Acceptable Use
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Sites and Event Materials for personal, non-commercial use or internal business purposes. You may not: republish, sell, or sublicense materials without written consent; scrape, data-mine, or use automated systems to extract content; or interfere with Sites, Event systems, or other users' participation.
12.2 Attendee Content
You are solely responsible for Attendee Content. You represent and warrant that you have all necessary rights to submit such content and that it does not contain confidential information belonging to third parties. Attendee Content must not infringe intellectual property rights, contain unlawful material, invade privacy, or promote illegal activities.
By submitting Attendee Content, you grant BREATHE! Exp a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, adapt, publish, translate, distribute, and display such content for operating and improving Sites and Events, creating materials and case studies, and promoting Events. We reserve the right to remove content that violates these Terms.
12.3 Recordings and Likeness
Events may be recorded. By attending, you acknowledge that you may appear in recordings and grant BREATHE! Exp a perpetual, irrevocable, worldwide, royalty-free right to use such recordings for Event documentation, training, or promotion. Contact us before the Event with specific concerns.
12.4 Third-Party Links and Content
Sites and Events may include third-party links and integrations. Those parties are solely responsible for their content and practices. We are not responsible for third-party sites or services.
12.5 Event Conduct and Assumption of Risk
Event participation carries inherent risks. You are responsible for your own conduct and safety and for complying with applicable rules and policies. BREATHE! Exp reserves the right to remove any attendee whose conduct is disruptive or unsafe, without refund. BREATHE! Exp is not responsible for the conduct of other attendees, sponsors, or exhibitors.
13. Purchase Terms and Refund Policy
ALL SALES ARE FINAL. NO REFUNDS OR EXCHANGES. Tickets and registrations are non-cancellable, non-transferable, and non-resellable except as we explicitly permit in writing or as required by law.
Purchases are subject to availability. Prices and inclusions are described at point of sale and may change without notice for future purchases. You agree to provide accurate information and authorize us and our payment processors to charge your payment method.
13.1 Event Changes and Cancellation
We reserve the right to modify Event agenda, speakers, location, format, or schedule, and to postpone, reschedule, or cancel Events due to circumstances beyond our reasonable control. In such cases, we may offer, at our sole discretion: partial or full refund; credit toward a future Event; alternative date; or comparable make-good option. Our decision is final. If postponed, your ticket may automatically transfer to the new date with no refund owed unless required by law.
13.2 Force Majeure
We are not responsible for failure or delay due to causes beyond reasonable control, including acts of God, natural disasters, public health emergencies, war, terrorism, government orders, labor disputes, utility failures, or third-party network failures.
14. Disclaimers and Limitation of Liability
14.1 No Professional Advice
Content and materials, including AI outputs, are for informational and educational purposes only. They do not constitute legal, financial, medical, or other professional advice. Consult appropriate professionals before making significant decisions.
14.2 No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SITES, EVENTS, AND ALL RELATED CONTENT, TOOLS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that services will be uninterrupted, secure, or error-free. We make no warranty regarding AI-generated content accuracy.
14.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREATHE! EXP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. Our total aggregate liability for any claims will not exceed the amount you paid for the relevant Event or service during the twelve (12) months preceding the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless BREATHE! Exp and its officers, directors, employees, and affiliates from claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: your use of Sites or participation in Events; your violation of this Policy; your infringement of third-party rights; and any Attendee Content you submit, including through AI tools.
16. General Provisions
Governing Law and Venue. This Policy shall be governed by the laws of the State of Nevada, without regard to conflict of law principles. Any legal action shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction in such courts.
Severability. If any provision is held invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect.
Entire Agreement. This Policy, together with any Event-specific terms, constitutes the entire agreement regarding its subject matter and supersedes all prior agreements.
No Waiver. Our failure to enforce any provision shall not constitute a waiver of that or any other provision.
Assignment. You may not assign rights or obligations without our written consent. We may assign without restriction.
Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
17. Changes to This Policy
We may update this Policy at any time. Changes become effective when posted, unless a later date is specified. Your continued use after the effective date constitutes acceptance. Material changes to refund or cancellation policies will be highlighted in Event communications.
